TERMS & CONDITIONS — REMCO TOOLS BV (EU, EEA, United Kingdom, Switzerland & Norway)

1. Who We Are

These Terms & Conditions ("Terms") govern your use of our website and online store (the "Site") and every purchase you make from:

These Terms apply to customers in the European Union, the European Economic Area, the United Kingdom, Switzerland, and Norway. Customers elsewhere are served by Remco Tools LLC under separate terms available at www.remcotools.com.

By placing an order, you accept these Terms. Nothing in these Terms limits or excludes any rights you have under mandatory consumer protection law in your country of residence. Where these Terms conflict with such mandatory law, the law prevails.

2. Eligibility & User Accounts

Eligibility. You must be at least 18 years old (or the age of majority in your country) to place an order.

Accounts. Some features may require an account. You agree to provide accurate, complete information and keep it updated, and you are responsible for the confidentiality of your credentials and activity under your account. You may request deletion of your account at any time by emailing info@remcotools.com. We may suspend or delete accounts used in violation of these Terms or applicable law.

3. How the Contract Is Formed

  1. Product listings on the Site are an invitation to order, not a binding offer.
  2. When you complete checkout, you place an order. Immediately before you confirm, we will show you a summary of the products, the total price including VAT and delivery costs, and these Terms. The order button is clearly labeled to indicate an obligation to pay.
  3. We will acknowledge receipt of your order by email without undue delay. The contract of sale is concluded when we send you our order confirmation or dispatch the goods, whichever comes first.
  4. We will provide you with a confirmation of the contract on a durable medium (email) at the latest upon delivery.
  5. The contract is concluded in English. We store the contract text and will send it to you with your order confirmation.

We may decline an order for legitimate reasons, such as suspected fraud, a manifest pricing error, or product unavailability. If we decline after you have paid, we will refund you in full without undue delay.

4. Prices & Payment

  • All prices shown to consumers include VAT. Delivery costs are shown separately before you confirm your order.
  • Prices may change, but the price applicable to your order is the price shown at the time you place it, except in the case of a manifest error you could reasonably have recognized.
  • We accept the payment methods shown at checkout. Payments are processed by third-party providers; we do not store your card details.
  • We do not charge payment surcharges prohibited under EU law.

5. Delivery & Risk

  • We deliver to addresses in the EU, EEA, the United Kingdom, Switzerland, and Norway.
  • Delivery timelines shown at checkout are estimates. Unless we agree otherwise, we will deliver within 30 days of the contract being concluded. If we fail to deliver within an agreed or statutory period, you may set an additional reasonable period; if we still fail to deliver, you may terminate the contract and receive a full refund.
  • Risk of loss or damage passes to you when you (or a person you designate, other than the carrier) take physical possession of the goods. If you commission your own carrier, risk passes on handover to that carrier.
  • For deliveries to the United Kingdom, Switzerland, or Norway, you may be responsible for import duties and local taxes; where required by law, these will be disclosed at checkout.

6. Right of Withdrawal (Statutory 14-Day Cooling-Off)

Your right. If you are a consumer, you may withdraw from the contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day on which you (or a third party you designate, other than the carrier) acquire physical possession of the goods — or of the last item, for orders delivered in installments.

How to withdraw. Before the period expires, inform us of your decision by an unequivocal statement — for example, an email to info@remcotools.com or the Model Withdrawal Form at the end of these Terms. Sending your notice before the period expires is sufficient. We will acknowledge receipt of your withdrawal by email.

Returning the goods. Return the goods to us without undue delay and no later than 14 days from the day you notified us. The deadline is met if you dispatch the goods before that period ends. You bear the direct cost of returning the goods.

Refund. We will refund all payments received from you, including standard delivery costs (but not supplementary costs if you chose a more expensive delivery method than our standard option), without undue delay and no later than 14 days from the day we are informed of your withdrawal. We may withhold the refund until we have received the goods back or you have supplied proof of dispatch, whichever is earlier. We will refund using the same payment method you used, unless you expressly agree otherwise; the refund is free of charge to you.

Handling and diminished value. You may inspect and handle the goods to establish their nature, characteristics, and functioning — as you would in a shop. You are liable only for any diminished value of the goods resulting from handling beyond that, and we may deduct such diminished value from your refund. You do not need to return goods unused or in their original packaging for your withdrawal to be valid, though we ask that you return them with the packaging and accessories where possible.

Exceptions. The right of withdrawal does not apply to: (a) goods made to your specifications or clearly personalized; (b) sealed goods not suitable for return for health protection or hygiene reasons once unsealed after delivery; and (c) the other cases listed in Article VI.53 of the Belgian Code of Economic Law and Article 16 of Directive 2011/83/EU.

Territorial note. Consumers in the United Kingdom have an equivalent 14-day cancellation right under the Consumer Contracts Regulations 2013. For consumers in Switzerland, no statutory withdrawal right exists; we voluntarily grant Swiss consumers the same 14-day right described in this Section as a contractual right.

7. Legal Guarantee of Conformity (Defective Goods)

Your statutory rights. As a consumer, you benefit from a legal guarantee of conformity of at least two (2) years from delivery under EU law and the Belgian Code of Economic Law. Under this guarantee, we are liable for any lack of conformity that exists at the time of delivery and becomes apparent within the guarantee period. Some countries provide longer periods; where the law of your habitual residence grants you greater protection, that protection applies.

Burden of proof. Any lack of conformity that becomes apparent within [one (1) year / two (2) years — set per Belgian implementation of Directive (EU) 2019/771] of delivery is presumed to have existed at delivery, unless proven otherwise or incompatible with the nature of the goods or the defect.

Remedies. If goods are not in conformity, you are entitled, under the conditions of applicable law, to: (a) repair or replacement of the goods, free of charge, within a reasonable time and without significant inconvenience; and, where applicable, (b) a proportionate price reduction or termination of the contract with a refund.

How to make a claim. Contact info@remcotools.com with your order number, a description of the defect, and photos where possible. If a delivered item is damaged, defective, or not what you ordered, we ask that you notify us within a reasonable time after discovery — Belgian law requires notice within two months of discovering the defect at the latest. We will cover the cost of return shipping for confirmed conformity claims.

Relationship to other rights. This legal guarantee applies independently of, and is not limited by, our returns policy, the right of withdrawal, or any commercial warranty.

8. Product Use & Safety

Our products include bicycle maintenance tools which, if used improperly or without adequate safety measures, can cause personal injury or property damage. Always follow product instructions, industry best practices, and applicable regulations or standards, especially if you are a professional mechanic. You are responsible for determining whether a product is suitable for your intended use; if a task requires professional expertise, ensure you have it or consult qualified personnel. Nothing in this Section limits our liability under Section 11 or your statutory rights.

9. Acceptable Use & Intellectual Property

You shall not use the Site to: violate any law, regulation, or these Terms; upload or transmit malicious code or harmful content; infringe intellectual property or privacy rights; post unauthorized commercial communications, spam, or false or misleading content; collect information about other users without consent; or disrupt the Site's security or operation.

The Site and its content — text, graphics, logos, product designs, images, and software — are owned by or licensed to Remco Tools and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written consent, except for personal, non-commercial use of the Site. The Site may link to third-party websites; we are not responsible for their content, products, or services.

10. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, strikes, war, terrorism, governmental actions, pandemics, or carrier disruptions. Our obligations are suspended for the duration of such events. If a force majeure event lasts longer than 60 days, either party may terminate affected orders, and we will refund payments for undelivered goods. This Section does not affect your statutory rights, including your rights on late delivery under Section 5.

11. Liability

  1. Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our fault or negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; (d) liability under applicable product liability law for defective products; or (e) any other liability that cannot be excluded or limited under applicable law.
  2. Subject to paragraph 1, we are liable only for foreseeable damage that is a direct result of our breach of these Terms or our legal obligations. We are not liable for loss of profit or business losses where you use our products for private purposes.
  3. Subject to paragraph 1, our total liability per order is limited to [two times] the price paid for that order.
  4. Your statutory rights as a consumer — including under the legal guarantee of conformity and product liability law — are not affected by this Section.

12. Privacy

Your use of the Site is also governed by our Privacy Policy at https://eu.remcotools.com/pages/privacy-policy, which describes how we process your personal data in accordance with the GDPR.

13. Governing Law, Disputes & Complaints

Governing law. These Terms are governed by Belgian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, you additionally enjoy the protection of the mandatory provisions of the law of your country of habitual residence.

Courts. You may bring proceedings in the courts of your habitual residence or in the courts of Gent, Belgium. If we bring proceedings against you as a consumer, we will do so in the courts of your habitual residence.

Complaints and out-of-court resolution. Please contact us first at info@remcotools.com — we aim to resolve complaints amicably. If we cannot resolve your complaint, consumers in Belgium may contact the Consumer Ombudsman Service (Consumentenombudsdienst / Service de Médiation pour le Consommateur, North Gate II, Boulevard du Roi Albert II 8, 1000 Brussels, www.mediationconsommateur.be). Consumers in other countries may use the alternative dispute resolution bodies available in their country. We are not obliged to participate in ADR proceedings but will consider each request in good faith.

14. General Provisions

Changes to these Terms. We may update these Terms by posting a revised version on the Site. Each order is governed by the version of these Terms in effect and accepted at the time you place that order. Changes never apply retroactively to existing orders.

Assignment. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets, provided this does not reduce your rights under an existing contract. You may not assign your rights without our prior written consent, which we will not unreasonably withhold.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced by a valid one that most closely reflects its purpose.

No waiver. Our failure to enforce any provision does not waive our right to enforce it later.

Entire agreement. These Terms, together with your order, our order confirmation, and any referenced policies, constitute the entire agreement for your purchase.
